A general counsel’s role is to manage a company’s legal operations and execute on day-to-day legal projects, from commercial agreements to corporate transactions and employment questions. In this capacity as a “fractional,” outsourced general counsel, Wittliff | Cutter frequently drafts and negotiates commercial leases, executive agreements, independent contractor agreements, proprietary information and inventions assignment agreements, confidentiality agreements, offer letters, non-competition/non-solicitation agreements, separation agreements, equity compensation plans, employee vacation policies, vendor agreements, and insurance policies.
We also advise clients on legal issues relating to corporate governance matters, fiduciary duties, recordkeeping, protection of proprietary information, litigation management, employment practices, insurance coverage, unfair business practices, subpoena responses, protection of proprietary information, shareholder liability, and trademark/brand protection.
