Eliza (“Eli”) is an experienced corporate attorney with a strong background in Debt Financing, Derivatives and complex Secured Transactions. As in-house counsel in New York City to two global banking institutions, Eli gained expertise in drafting and negotiating a broad range of agreements with small, mid-size, Fortune 500 and financial institution counterparties, both foreign and domestic. She was also responsible for initiating and updating over 300 procurement contracts on a yearly basis, such as Licensing Agreements (including SaaS agreements), Master Service Agreements, Terms & Conditions, Purchase Orders and Consulting Agreements, covering all operational aspects of the bank. Having worked in a highly regulated industry, Eli is skilled in creating all-encompassing policies and procedures and advising her clients on proper compliance. As Head of Legal to a Grand Cayman branch, she was charged with establishing effective corporate governance and documentation as well as interacting with regulators. Eli prides herself on her ability to translate complex legal issues for a broad audience and works diligently for her clients to produce results-oriented outcomes.

Eli began her legal career working in Broker/Dealer Compliance at JP Morgan Securities, thereafter, quickly moving into the Investment Bank Legal Department of JP Morgan Chase & Co. She expanded the range of her practice by joining the small legal department in the NY branch of Commerzbank AG, Germany’s second largest bank, where she advised on all corporate and transactional matters, day-to-day business operations, new products and cross-border considerations.

Eli lives in Austin with her husband, a FinTech and AI entrepreneur, their daughter and Corgi pup.

  • Sole counsel to individual lender on syndicated financing deal collateralized by blockchain IP created by consortium of lenders.
  • Represented client in the cross-border implementation of global cloud services contract.
  • Provided general counsel for day-to-day legal matters to FinTech and AI startup
  • Lenders counsel for bilateral/syndicated credit facilities, supply chain financing, secured transactions, trade finance, project finance and letters of credit with hundreds of banking clients.
  • Represented financial institutions in OTC Derivatives ISDA Master Agreements and Collateral documentation with individuals, partnerships, corporations, hedge funds, asset managers, insurance companies and banks as counterparties.
  • Prepared bank and broker dealer branches for on-site regulatory exams.
